1. Agreement & Eligibility

These Terms of Service ("Terms") govern use of services offered by Synthos Systems, LLC. By using our website or services, you agree to these Terms. Services are intended for businesses and commercial users only, and for individuals 18 years of age or older. By using services, you represent that you have authority to bind your business.

3. Systems Audit

A Systems Audit is a complimentary 30-minute consultation with the Synthos Systems founder provided at no cost and with no obligation to purchase. It is designed to identify operational bottlenecks and determine whether a Synthos Systems solution is a fit for your business. Synthos Systems reserves the right to decline or reschedule a Systems Audit at its discretion.

Delays caused by the client's failure to fulfill these responsibilities may affect timelines and are not the liability of Synthos Systems.

6. AI Disclaimer

Artificial intelligence systems may generate inaccurate, incomplete, outdated, or unexpected outputs. AI-generated outputs must be reviewed by a human before being relied upon. Synthos Systems is not responsible for business losses, lost revenue, missed opportunities, compliance failures, incorrect AI responses, or hallucinations. Human review is required.

8. Refund Policy

Due to the custom nature of our work, all payments are non-refundable once project work has commenced. If a project is cancelled before work begins, deposits may be refunded at the sole discretion of Synthos Systems. Refund requests must be submitted in writing to info@synthossystems.com. Free consultations (Systems Audits) are non-billable and require no refund.

9. Intellectual Property

Company Ownership

Synthos Systems retains ownership of proprietary systems, automation frameworks, software configurations, documentation, internal methodologies, and branding and website materials.

Client Ownership

Clients retain ownership of client-provided materials, uploaded content, and business data.

Deliverables

Upon receipt of full payment, Synthos Systems assigns to you all rights to the custom-built systems, workflows, and deliverables created specifically for your project. AI-generated deliverables, prompts, automation logic, and outputs may include shared intellectual property rights unless otherwise agreed in writing. You grant Synthos Systems permission to reference the nature of the engagement in marketing materials and case studies, unless you request in writing that we do not.

10. Suspension & Termination

We may suspend or terminate services for non-payment, abuse, fraudulent or illegal activity, violation of Terms, or misuse of AI systems.

11. Limitation of Liability

To the maximum extent permitted by law, Synthos Systems shall not be liable for indirect damages, lost profits, lost business opportunities, data loss, service interruptions, AI-generated inaccuracies, or third-party platform failures. Total liability shall not exceed fees paid in the prior three (3) months.

12. Confidentiality

Synthos Systems treats all client business information as confidential. We will not disclose proprietary business information, operational details, or client data to third parties without your consent, except as required by law or as necessary to deliver services using our technology partners.

13. Third-Party Services

Our services may depend on third-party providers including OpenAI, Anthropic, GoHighLevel, Make.com, Stripe, Twilio, Cloudflare, AWS, Azure, and Google services. We are not responsible for outages or failures of third-party platforms.

14. Force Majeure

We are not liable for delays or failures caused by events outside reasonable control, including internet outages, vendor disruptions, cloud failures, cyber incidents, natural disasters, or government actions.

15. Governing Law & Disputes

These Terms are governed by the laws of the State of Mississippi. Parties agree to attempt mediation first. If unresolved, disputes may proceed to arbitration. Small claims court remains permitted where legally appropriate. Venue shall be Lafayette County, Mississippi.

16. Service Modifications

We reserve the right to modify, improve, pause, or discontinue services at any time.

17. Changes to Terms

We may update these Terms periodically. Continued use constitutes acceptance of updated versions.
